- Support Governance Functions: Assist in the planning, coordination and delivery of Board and Committee meetings, including the preparation of agendas, summaries of key issues and actions, timely circulation of materials, and accurate drafting of minutes and resolutions;
- Governance Projects and Frameworks: Collaborate with the Head of Governance on initiatives to enhance and implement the Group's corporate governance framework, including participation in governance-related projects and improvement plans;
- Teamwork and Collaboration: Work across departments, liaising with internal stakeholders and external advisors to ensure effective implementation of Board decisions, compliance policies, and governance processes;
- Corporate Records & Compliance: Support the maintenance of statutory registers and governance documentation in coordination with the Group's company administrator. Ensure timely filing and communication with regulatory bodies (e.g., Companies House);
- Advisory and Support: Provide practical advice and guidance on governance/legal/corporate matters to business units and project teams. Contribute to due diligence and regulatory aspects of M&As, group restructuring, and corporate changes;
- Monitoring and Best Practice: Stay up to date with relevant governance codes, legal and regulatory requirements, and recommend updates to internal policies and procedures accordingly;
- Corporate Actions and Share Transactions: Demonstrated experience working with foreign jurisdictions (Cyprus, Luxembourg, UK) on cross-border corporate matters, including regulatory compliance, entity governance, and corporate structuring;
- Ensure that all activities and duties comply fully with regulatory requirements, including the Group Anti-Bribery and Corruption Policy.
- Minimum 5 years of experience in governance or corporate roles, ideally within financial services or a regulated industry;
- Strong project involvement experience and demonstrated ability to contribute to cross-functional initiatives;
- Proven ability to collaborate effectively with internal teams and external stakeholders;
- Familiarity with statutory obligations, corporate projects, and board/committee processes;
- Degree in Law, Business Administration, Governance or a related field;
- Excellent written and verbal communication skills in Greek and English;
- Demonstrated commitment to values such as teamwork, integrity, client focus, and results orientation.
